Article 2 of the Uniform Commercial Code

Erica Holloway Properties, Inc. (EHP) entered into contracts with Blythe Technology Systems (BTS) to purchase property management/reservation computer systems. The systems included computer hardware and software, as well as installation, training, and support services for the Ocean Beach Hotel and the Sandstone Resort in Miami, Florida. The software-controlled the central reservations systems at both hotels. When EHP learned that the software was not able to integrate the reservations across both properties as promised – it filed a suit against BTS, alleging in part breach of contract. The defendants filed a motion for summary judgment. One of the issues was whether the contracts were subject to Article 2 of the Uniform Commercial Code. Were they? Why or why not?
