Part A. The Shareholder Value Myth – Lynn Stout video – (15 points)

The question is based on the Lynn Stout video. You must watch it closely to answer this question.
Dr. Stout makes many points about how the “maximizing shareholder value” principle or mandate in American business
is a new development, is not based in law, and has not yielded positive results for companies. Do you agree? If you are
taking the position you AGREE with here, then take 3 of her points, do some additional research, to support the
arguments she made 5 years ago. For example, you could update her data with current data. You could show what has
happened to a recent company following a “maximizing shareholder value” approach. I’m looking for 3 parts to your
argument that she is right with citations to your sources.
If you choose to take the position she is WRONG and that maximizing shareholder wealth has had positive impacts on
business in America or various STAKEHOLDERS, then make that argument providing 3 points to challenge the points she
makes in the video. Give the citations to your sources to support each point.

Part B. Discussion related to the Role of Regulations and Ethical Business Conduct (15 points)
Background. Generally, when there is a crisis, lawmakers do what they have power to do – pass a law or adopt
a regulation. However, through time, the amount of regulations ebbs and flows. If you look at the Powerpoints
provided on the various “ethics” laws or laws that impact business conduct, you’ll see that there were a lot of
regulations which occurred in the 1960s/70s. Then when President Reagan was elected in the 1980s, we
entered a major period of deregulation. During the 1990s, we had a few additional laws passed but nothing
like the period of time in the 1970s. Most recently, we have again had a period of time of de-regulation. Many
predict we will have the return to more laws/regulations but time will tell. I am providing you with two articles
about the pros/cons of regulations on business. Read them quickly to get the gist of the articles.

4. Pick one country in which this unethical action is impacting STAKEHOLDERS. What is the government in
that country doing to impact the unethical behavior of the social media company? Be specific. Or if
your research is not finding any action being taken by the government, what are actions the
government could take to impact the behavior of the social media company? (10 points)
5. Is the action taken by the government likely to have an impact on the social media company? Will the
